These Terms of Service (“
Terms”) govern your use of
Toastmanagers, a free, web-based club management platform for Toastmasters clubs operated at
toastmanagers.com (“
the Service”). By creating an account or otherwise using the Service, you agree to these Terms. If you don’t agree, please don’t use Toastmanagers.
01 Eligibility & accounts
You must be at least 13 years old to create a Toastmanagers account. If you create an account on behalf of a Toastmasters club, you represent that you have the authority to do so and to bind that club to these Terms.
You’re responsible for keeping your password secure and for any activity that happens under your account. Tell us right away at managerstoast@gmail.com if you suspect unauthorized access. You must provide accurate information when signing up and keep it current.
02 Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Attempt to gain unauthorized access to other accounts, clubs, or our systems.
- Probe, scan, or test the vulnerability of the Service without our written permission.
- Interfere with or disrupt the Service, its servers, or its networks (including overwhelming our APIs, scraping at scale, or running automated agents that degrade performance for other users).
- Upload viruses, malware, or any code intended to damage or interfere with the Service.
- Send spam, unsolicited bulk email, or harassing messages through any feature that allows messaging members.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent that applicable law expressly permits.
- Resell, sublicense, or commercially exploit the Service or any content that isn’t yours.
- Misrepresent your affiliation with a Toastmasters club or with Toastmasters International.
We may suspend or terminate accounts that violate these rules, with or without notice.
03 Your content
You retain ownership of the content you upload to Toastmanagers, including member rosters, meeting agendas, speech titles, evaluations, notes, and any files (“Your Content”).
By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process it solely as needed to operate, improve, and secure the Service for you and your club.
You’re responsible for Your Content. You represent that you have the rights to upload it, that it doesn’t violate anyone’s privacy or intellectual property rights, and that it complies with applicable law.
04 Clubs & member data
Toastmanagers is built for clubs. When you create a club, you become an “Administrator” for that club. Administrators control who else can join and what information members share, and can invite, remove, and assign roles to members.
If you import or invite members, you confirm that you have a lawful basis (such as their consent or your legitimate interest as a club officer) to add them to Toastmanagers. You agree not to import contact information for people who haven’t agreed to participate in your Toastmasters club.
Our handling of personal data is described in the Privacy Policy.
If you stop being an officer: please transfer ownership of the club workspace to another officer before you leave. We’re not responsible for clubs that lose access because the only Administrator’s account becomes inactive.
05 Pricing & free service
Toastmanagers is currently free to use, with no member cap, no credit card required, and no advertising. We may introduce paid features in the future, but any plan you currently use will continue to function as described, or you’ll be given reasonable advance notice and the option to export your data before any change takes effect.
“Free” doesn’t mean “unlimited.” We may apply reasonable rate limits, storage caps, or anti-abuse controls. We’ll try to be transparent if your usage approaches a limit.
06 Third-party services
The Service may rely on third parties for things like email delivery, infrastructure hosting, error monitoring, and analytics (see the Privacy Policy). We don’t control those third parties and aren’t responsible for their services. Where you use a third-party tool through Toastmanagers (for example, a video meeting link you attach to a meeting), your use of that tool is governed by its own terms.
07 Toastmasters trademarks
“Toastmasters International” and related marks (such as Pathways and Competent Communicator) are trademarks of Toastmasters International. Toastmanagers is not affiliated with, endorsed by, or sponsored by Toastmasters International. We use those terms only to describe a feature’s purpose for clubs that follow the Toastmasters program. The name “Toastmanagers” and our logo belong to us.
08 Availability & changes
We work hard to keep Toastmanagers reliable, but we don’t guarantee uptime, error-free operation, or that the Service will always be available. We may add, change, or remove features at any time. If we make a change that significantly degrades a feature you rely on, we’ll try to give reasonable advance notice.
09 Termination
You can stop using Toastmanagers at any time and delete your account from your account settings, or by emailing us at managerstoast@gmail.com.
We may suspend or terminate your access if you violate these Terms, if your account presents a security or legal risk, or if your account has been inactive for an extended period. Where reasonable and lawful, we’ll try to notify you and let you export your data first.
Sections of these Terms that by their nature should survive termination (including content licenses, disclaimers, limitations of liability, and dispute terms) will survive.
10 Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
We make no warranty that the Service will meet your requirements, be uninterrupted, secure, error-free, or that any defects will be corrected. Toastmanagers is not a backup service; you’re responsible for keeping your own copies of important data.
11 Limitation of liability
To the maximum extent permitted by law, in no event will Toastmanagers, its operators, contributors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or use, arising out of or in connection with the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we’ve been advised of the possibility of such damages.
To the maximum extent permitted by law, our total cumulative liability arising out of or relating to the Service will not exceed one hundred United States dollars (US $100), since the Service is provided to you free of charge.
Some jurisdictions don’t allow these limits, so they may not apply to you in full.
12 Indemnification
You agree to defend, indemnify, and hold harmless Toastmanagers and its operators from any claim, liability, damage, loss, or expense (including reasonable attorneys’ fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms or any law or third-party right.
13 Governing law & disputes
These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-laws rules. You agree that any dispute will be resolved exclusively in the state or federal courts located in California, and you submit to the personal jurisdiction of those courts.
Nothing in this section limits your statutory consumer rights in your country of residence.
14 Changes to these Terms
We may update these Terms from time to time. If we make a material change, we’ll let you know in the app or by email and update the “Last updated” date above. Continued use of the Service after the change takes effect means you accept the new Terms. If you don’t agree, please stop using the Service and, if you wish, delete your account.
